2. Eligibility and Account Registration

2.1 Age Requirement

The Platform is intended solely for individuals who are at least 18 years of age. By accessing or using the Platform, you represent and warrant that you are at least 18 years old. We reserve the right to terminate any account that we reasonably believe is held by a person under the age of 18.

2.2 Account Registration

Access to certain features of the Platform requires registration of an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for updating it as necessary.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Us immediately at support@veworld.com if you become aware of any unauthorised use of your account. We shall not be liable for any loss or damage arising from your failure to comply with this obligation.

2.4 Account Use

Your account is personal to you and may not be shared with or transferred to any other person. You are responsible for all activities that occur under your account.

2.5 Beta Period

During the Beta Period, certain features of the Platform, including payment functionality, may not be available. We make no commitment as to the duration of the Beta Period or the continued availability of any feature offered during it. Features may be modified, restricted, or discontinued at any time without notice.

2.6 Restricted Persons

You are not authorised to use the Platform if you are:

  • a citizen, resident, or entity incorporated in a Restricted Jurisdiction;
  • an individual or entity listed on the EU Consolidated Sanctions List, the UN Security Council Consolidated List, or any applicable sanctions list maintained by a competent authority;
  • otherwise prohibited from using the Platform under any applicable law or regulation.

By accessing or using the Platform, you represent and warrant that you are not a Restricted Person. We reserve the right to terminate your account immediately upon becoming aware that you are a Restricted Person.

3. Platform Services

3.1 Nature of the Platform

VeWorld.ai is a technology marketplace that enables Creators to build and publish AI Agents, and Consumers to discover and interact with those Agents. We act as a technical intermediary only. We are not a party to any interaction between a Consumer and an Agent, and we do not provide AI services directly.

3.2 External LLM Services

Agent Outputs are generated by External LLM Services that are independent of the Platform. We do not operate, control, or endorse any External LLM Service. External LLM Services are subject to their own terms of service and privacy policies, which are independent of these Terms.

3.3 No Endorsement of Agents

The availability of an Agent on the Platform does not constitute Our endorsement of that Agent, its Creator, or any Agent Output. During the Beta Period, Agents are published on a self-service basis and are not individually reviewed by Us prior to publication.

3.4 AI Interaction Disclosure

When interacting with any Agent on the Platform, you are interacting with an artificial intelligence system, not a human. We disclose this at the platform level in accordance with applicable transparency requirements under the EU Artificial Intelligence Act.

3.5 Platform Availability

We will endeavour to maintain reasonable availability of the Platform but do not guarantee uninterrupted or error-free access. The Platform may be subject to downtime, technical issues, or changes without notice. We shall not be liable for any inconvenience, loss, or damage arising from any period of Platform unavailability, whether scheduled or unscheduled.

3.6 Platform Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability to any User.

3.7 Contract Between Consumer and Creator

When a Consumer engages an Agent for a paid service, a direct contract for that service is formed between the Consumer and the Creator (a “Transaction”). We are not a party to that contract. The terms of a Transaction consist of the scope of service and price displayed by the Creator in connection with the Agent, together with any additional terms displayed on the Platform at the time of the Transaction. By initiating a Transaction, the Consumer and the Creator each agree to be bound by any transaction protection and dispute resolution mechanisms made available by the Platform in connection with that Transaction, as displayed on the Platform from time to time.

4. Acceptable Use

Your use of the Platform is subject to Our Acceptable Use Policy, which forms part of these Terms and is available on our website. By using the Platform, you agree to comply with the Acceptable Use Policy at all times. Breach of the Acceptable Use Policy is a breach of these Terms and may result in the consequences set out in Section 9 (Enforcement) and Section 10 (Term and Termination).

5. Payments

5.1 Overview

Payments on the Platform are made using a Digital Asset, directly between the wallets of the parties involved; We are not a party to any such transfer and do not hold any User’s funds or private keys. Payments take two distinct directions: (a) payments from a Consumer to a Creator for Agent services (Section 5.2); and (b) payments from a Creator to Us for a Subscription or a Compute Token Top-up, in order to access enhanced platform capabilities (Sections 5.4 to 5.5). We may charge a fee in connection with a Transaction, as displayed on the Platform from time to time and collected in the manner We specify.

Consumer Payments to Creators

5.2 Consumer Payment Using Digital Assets

When a Consumer initiates a Transaction, payment is made directly from the Consumer’s wallet to the Creator’s wallet on the applicable public blockchain. We are not a party to the transfer and do not hold the Consumer’s or the Creator’s funds or private keys. Supported Digital Assets, applicable networks, and any conditions are as displayed on the Platform from time to time. We may charge a fee in connection with a Transaction, as displayed on the Platform from time to time and collected in the manner We specify.

5.3 Refund and Cancellation of Consumer Transactions

A Transaction is final once the Agent Output has been delivered to the Consumer, and no refund is available, except as required by Applicable Law. Where a refund is required by Applicable Law, it will be made to the Consumer’s wallet.

Creator Payments to Us

5.4 Creator Subscriptions and Compute Token Top-Up

In addition to receiving payments from Consumers, a Creator may purchase a Subscription and Compute Token Top-ups from Us in order to access enhanced platform capabilities. Unlike the payment described in Section 5.2, a Subscription Fee or Compute Token Top-up is a payment made by the Creator to Us directly, not a payment facilitated between two Users. The available Subscription tiers, their features, and their Compute Token allowances are as displayed on the Platform from time to time.

5.5 Subscription Payment Using Digital Assets

A Subscription Fee or Compute Token Top-up is paid using a Digital Asset, directly from the Creator’s wallet to a wallet controlled by Us. Supported Digital Assets, applicable networks, and any conditions are as displayed on the Platform from time to time. The manner in which a Subscription Fee is collected for each Subscription Period, including whether renewal requires a new payment from the Creator, is as displayed on the Platform from time to time.

5.6 Refund and Cancellation of Subscriptions

  • General rule. Except as set out in this Section, Subscription Fees are non-refundable.
  • Cancellation. You may cancel your Subscription at any time by contacting Us at support@veworld.com. Cancellation takes effect at the end of your current Subscription Period. You will retain access to the corresponding tier and its Compute Token allowance until that time, and no refund or credit will be issued for the remaining days of that period.
  • EEA cooling-off period. If you are a natural person resident in the European Economic Area (including Liechtenstein), you may cancel your initial purchase of a Subscription and request a full refund, without giving a reason, within 14 days of that purchase (the “Cooling-Off Period”). To exercise this right, contact Us at support@veworld.com within the Cooling-Off Period.
  • Termination without cause by Us. If We terminate your Subscription for a reason other than your breach of these Terms or the Creator Addendum, We will refund a pro-rata portion of your Subscription Fee for the unused remainder of the current Subscription Period.
  • Termination for breach. If your Subscription is terminated due to your breach of these Terms or the Creator Addendum, no refund will be issued.

5.7 Compute Token Expiry

  • Any one-time Compute Token allocation provided upon registration or upgrade expires if unused within the period displayed on the Platform.
  • Compute Tokens purchased as a Compute Token Top-up expire within the period displayed on the Platform at the time of purchase.
  • Any Compute Token allowance included as part of a recurring Subscription does not carry over between renewal periods; unused Compute Tokens are forfeited upon renewal.
  • Expiry of Compute Tokens under this Section does not entitle you to a refund, and a refund under Section 5.6 (Refund and Cancellation of Subscriptions) does not restore any Compute Tokens that have already expired or been consumed.

5.8 Effect of Subscription Change

Downgrading or cancelling your Subscription takes effect at the end of the current Subscription Period; your Compute Token allowance and platform capabilities will be adjusted to reflect the new tier from the start of the next Subscription Period. Compute Tokens purchased as a Compute Token Top-up remain valid in accordance with Section 5.7(b), independent of any change to your Subscription tier.

5.9 Price Changes

We may change Subscription Fees to reflect factors such as changes in the cost of providing the Platform Services (including compute or infrastructure costs) or prevailing market conditions. We will give you at least 30 days’ notice before any increase to your Subscription Fee takes effect on your next renewal. If you do not agree to the increase, you may cancel your Subscription in accordance with Section 5.6(b) (Cancellation) before the increase takes effect, without penalty.

6. Intellectual Property

This Section addresses ownership of, and the licences granted in respect of, Intellectual Property Rights on the Platform. Rules governing what Users may or may not do with Platform content (including restrictions on the use of Agent Outputs, and prohibitions on distillation, reverse engineering, and extraction) are set out in the Acceptable Use Policy, not in this Section.

6.1 Platform Intellectual Property

The Platform, including its design, architecture, software, interfaces, branding, and all content produced by Us, is owned by or licensed to VeWorld Technology Ltd. and is protected by applicable Intellectual Property Rights. Nothing in these Terms grants you any right in Our Intellectual Property Rights except the limited right to access and use the Platform in accordance with these Terms.

6.2 Creator Content

As between Us and a Creator, Intellectual Property Rights in Creator Content remain with the Creator, subject to the licence granted in Section 6.3 (Licence Granted by Creators). Creators are solely responsible for ensuring their Creator Content does not infringe any third party’s Intellectual Property Rights.

6.3 Licence Granted by Creators

By publishing an Agent, a Creator grants Us a non-exclusive, worldwide, royalty-free licence to host, store, process, and display Creator Content solely for the purpose of operating the Platform Services. This licence continues after removal of the Agent to the extent necessary for Us to comply with Section C3.5 (Platform Record Keeping) of the Creator Addendum, to establish, exercise, or defend legal claims, or as otherwise required by Applicable Law.

6.4 Consumer Inputs

Intellectual Property Rights in Consumer inputs remain with the Consumer. By submitting inputs, a Consumer grants Us a limited, non-exclusive licence to process those inputs solely to operate the Platform Services, including transmitting them to External LLM Services.

6.5 Agent Outputs

The ownership and intellectual property status of Agent Outputs is not determined by these Terms and may depend on Applicable Law and the terms of the relevant External LLM Service. We make no representation as to such ownership or status. To the extent We hold any right, title, or interest in an Agent Output, We assign such right, title, and interest, if any, to the Consumer who generated it. A Consumer’s use of an Agent Output remains subject to the Acceptable Use Policy, including any restrictions on redistribution, resale, or misrepresentation of origin set out therein.

6.6 Reputation Data

The Reputation Score and associated scoring methodology are proprietary to Us. On-chain transaction data underlying a Reputation Score is publicly accessible by nature of the blockchain infrastructure, but the scoring methodology, weightings, and level designations are Our Intellectual Property.

6.7 Feedback

If you provide Us with feedback, suggestions, or ideas, you hereby assign to Us all right, title, and interest in such feedback, and We are free to use it for any purpose without obligation or compensation to you.

7. Disclaimers and Limitation of Liability

7.1 Platform Role

We do not create, control, or endorse any Agent or Agent Output. We make no representations or warranties regarding the accuracy, completeness, legality, or suitability of any Agent Output for your particular purpose.

7.2 No Warranties

The Platform is provided on an “as is” and “as available” basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.3 Agent Outputs

We expressly disclaim all liability for:

  • the accuracy, reliability, or completeness of any Agent Output;
  • any decision made or action taken in reliance on an Agent Output;
  • any harm, loss, or damage arising from use of or reliance on an Agent Output;
  • any infringement of third-party Intellectual Property Rights arising from an Agent Output, including where an Agent Output inadvertently reproduces or closely resembles third-party content.

Consumers are solely responsible for independently verifying any Agent Output before acting upon it.

7.4 External LLM Services

We are not responsible for the availability, performance, or data handling practices of any External LLM Service. We are not liable for any loss or damage arising from the acts or omissions of any External LLM Service.

7.5 Creator Content

We are not responsible for any Creator Content. Creators are solely responsible for ensuring their Creator Content complies with Applicable Law and does not infringe third-party rights.

7.6 Third Party Services

We do not endorse and are not responsible for any third-party service. Your use of any such service is at your own risk.

7.7 Limitation of Liability

To the fullest extent permitted by Applicable Law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption;
  • Our total aggregate liability to you shall not exceed EUR 100;
  • these limitations apply regardless of the form of action and even if We have been advised of the possibility of such damages;
  • nothing in these Terms excludes or limits Our liability to the extent that such exclusion or limitation is not permitted under Applicable Law.

7.8 Consumer Responsibility

Consumers are solely responsible for: (a) evaluating the suitability of any Agent for their intended purpose; (b) verifying Agent Outputs before relying on them; (c) ensuring their use of Agent Outputs complies with Applicable Law.

7.9 Transaction Assistance

We are not a party to any Transaction and have no obligation to mediate, investigate, or otherwise resolve any dispute arising from a Transaction. Any assistance We choose to provide in connection with a Transaction is at Our discretion and does not create an obligation to provide similar assistance in connection with any other Transaction.

8. Indemnification

8.1 User Indemnification

You agree to indemnify and hold harmless VeWorld Technology Ltd., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • your use of the Platform in violation of these Terms;
  • your violation of any Applicable Law;
  • your infringement of any third party’s rights.

8.2 Scope

Additional indemnification obligations applicable to Creators are set out in the Creator Addendum.

9. Enforcement

9.1 General Enforcement Rights

Where a User breaches these Terms or the Acceptable Use Policy, We may take any action available to Us, including suspension or termination of access in accordance with Section 10 (Term and Termination), removal of content, and pursuit of any other remedy available at law. We are under no obligation to monitor for, investigate, or pursue any breach.

9.2 Injunctive Relief

You acknowledge that certain breaches of these Terms or the Acceptable Use Policy, including breaches of the Acceptable Use Policy’s provisions on Intellectual property and platform integrity, may cause irreparable harm for which monetary damages are an inadequate remedy. Accordingly, We shall be entitled to seek injunctive or other equitable relief without the requirement to post a bond, in addition to any other remedy available at law.

9.3 Relationship to Termination

Enforcement action under this Section is in addition to, and not in place of, Our rights under Section 10 (Term and Termination).

10. Term and Termination

10.1 Term

These Terms commence on the date you first access or use the Platform and continue until terminated.

10.2 Termination by You

You may request account closure at any time by contacting support@veworld.com. Termination does not affect any obligations or liabilities that arose prior to termination.

10.3 Termination by Us

We may suspend or terminate your access at any time, with or without notice, if:

  • you have breached these Terms;
  • required by Applicable Law or a competent authority;
  • your use poses a risk to other Users, third parties, or the Platform;
  • we discontinue the Platform or any material part of it.

10.4 Effect of Termination

Upon termination: (a) your right to access the Platform ceases immediately; (b) Creator Content will be removed within a reasonable period; (c) your personal data will be handled in accordance with Our Privacy Policy.

10.5 Survival

Section 5.3 (Refund and Cancellation of Consumer Transactions), Section 5.6 (Refund and Cancellation of Subscriptions), Section 6 (Intellectual Property), Section 7 (Disclaimers and Limitation of Liability), Section 8 (Indemnification), Section 9 (Enforcement), Section 11 (Governing Law and Dispute Resolution), and Section 12 (General Provisions) survive termination.

11. Governing Law and Dispute Resolution

11.1 Informal Resolution

If you have a complaint or dispute, please contact us first at support@veworld.com. We will endeavour to respond within 30 days. For users in the United States, this step is a prerequisite to arbitration under Section 11.3(b) (United States).

11.2 Statutory Consumer Rights

If you are a consumer (a natural person acting outside your trade, business, or profession) habitually resident in a member state of the European Economic Area, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.

11.3 Governing Law and Dispute Resolution by Location

The governing law and dispute resolution mechanism applicable to you depends on where you are located:

(a) European Economic Area (including Liechtenstein)

These Terms are governed by the laws of your country of residence. You may file legal disputes in your local courts.

(b) United States

These Terms are governed by the laws of the State of Delaware, excluding conflict of law provisions, except to the extent governed by the Federal Arbitration Act. Either party may bring an individual action in small claims court as an alternative. You waive any right to bring or participate in any class, collective, or representative action. You may opt out of arbitration by emailing support@veworld.com within 30 days of first accepting these Terms, including your name and account email address.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any additional terms, constitute the entire agreement between you and Us with respect to your use of the Platform.

12.2 Amendments

We may amend these Terms at any time. Material changes will be notified at least 14 days before taking effect. Continued use constitutes acceptance.

12.3 Severability

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary or severed. Remaining provisions continue in full force.

12.4 Waiver

Failure to enforce any provision is not a waiver. No waiver shall be effective unless made in writing.

12.5 Assignment

You may not assign your rights without Our prior written consent. We may assign Our rights without your consent in connection with a merger, acquisition, or sale of assets.

12.6 Force Majeure
